Services
Dahlia Digital provides marketing, creative, and consultancy services as described in proposals, statements of work, or contracts agreed with you. Specific deliverables, timelines, and fees will be defined in those agreements.
Client Responsibilities
As a client, you agree to:
Provide necessary information, assets, and approvals in a timely manner.
Ensure you have the rights to all materials you provide (e.g., logos, images, copy).
Respond to requests for feedback within agreed timelines.
Comply with applicable laws, including advertising and data protection regulations.
Fees and Payment
Unless otherwise agreed:
Invoices are due within 30 days of the invoice date.
Late payments may incur interest or suspension of services.
Fees are exclusive of applicable taxes, which will be added where required.
Intellectual Property
Your materials: You retain ownership of materials you provide to us.
Our deliverables: Upon full payment, you receive a license or ownership of agreed deliverables, subject to the contract.
Pre-existing IP: We retain all rights to methods, tools, templates, and know-how developed independently of your project.
Confidentiality
Both parties agree to keep confidential information disclosed during the relationship secure and not share it with third parties, except as required by law or agreed in writing.
Acceptable Use
You agree not to misuse our websites or services, including by:
Attempting to gain unauthorised access to systems or data.
Using our services to transmit harmful, unlawful, or infringing content.
Engaging in activity that could damage, disable, or impair our infrastructure.
Third-Party Services
Our services may rely on third-party platforms (e.g., analytics tools, ad networks, hosting providers). Your use of such platforms is subject to their terms and policies. We are not responsible for third-party services outside our control.
Limitation of Liability
To the maximum extent permitted by law:
We are not liable for indirect, incidental, or consequential damages.
Our total liability in connection with services is limited to the amount you paid us for the specific services giving rise to the claim.
Indemnification
You agree to indemnify and hold harmless Dahlia Digital and its personnel against claims, damages, or expenses arising from your misuse of services, breach of these Terms, or infringement of third-party rights.
Termination
Either party may terminate services as set out in the contract.
We may suspend or terminate services immediately if you breach these Terms or fail to pay fees when due.
Upon termination, outstanding fees remain payable and license rights granted to you may cease if not fully paid.
Governing Law
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any disputes will be subject to the exclusive jurisdiction of the courts located in that jurisdiction.
Changes to These Terms
We may update these Terms from time to time. The “Last updated” date reflects the latest version. Material changes will be communicated via our website or direct notice where appropriate.
